What Is a Deed of Subordination and Why Is ILA Required?

A Deed of Subordination is a legally binding document that establishes the order of repayment between different lenders or creditors.
It doesn’t just mean that the primary lender’s charge is ranked first—it means that the primary lender must be repaid in full before the subordinated lender receives anything. If the property is sold or the borrower defaults, the subordinated lender only gets repaid if there are remaining funds after the first lender has been fully repaid.

Lenders require these agreements to eliminate any uncertainty and to prevent potential legal disputes in the future. However, legal precedents have shown that courts have sometimes questioned whether individuals signing such agreements fully understood what they were agreeing to.
To avoid any doubt and ensure that the Deed is fully enforceable, lenders require Independent Legal Advice as a precautionary measure. This allows them to demonstrate that they have satisfied any duty of care they may owe, by ensuring that the individual signing the Deed has received clear, independent legal advice before committing to it.
